3. Client Responsibilities

a. Access and Permissions:

Clients are responsible for granting necessary permissions and access to their social media and business accounts to enable the integration of the AI automation system

b. Data and Content:

Clients must provide accurate and up-to-date content, FAQs, and branding materials for the AI agent. You represent that you have all necessary rights and permissions to share this data with us.
c. Compliance:

Clients are responsible for ensuring that the use of the Services complies with all applicable laws, regulations, and platform policies.

4. Payment Terms

a. Fees for Services, including setup and monthly maintenance, are as outlined in your agreement.
b. All payments are due on the agreed-upon dates, and late payments may result in suspension or termination of Services.
c. No refunds will be issued once Services have been delivered, except where required by law.

5. Service Limitations

a. The Company provides AI automation tools to assist with client operations; however, the performance and outcomes depend on the quality of input data and user engagement.
b. The Company is not responsible for business outcomes, such as sales or lead conversions, resulting from the use of the AI agent.

6. Intellectual Property

a. The Company retains ownership of any AI models, scripts, workflows, or other intellectual property created during the provision of the Services.
b. Clients are granted a limited, non-exclusive license to use these tools as part of their business during the duration of the agreement.
c. Clients may not copy, reverse-engineer, or distribute the Company’s intellectual property without express written consent.

7. Confidentiality

a. Both parties agree to keep all proprietary and confidential information disclosed during the provision of Services private and secure.
b. The Company will not share your data or account access with any unauthorized third party.

8. Limitations of Liability

a. The Services are provided on an "as-is" basis without warranties of any kind, express or implied.

b. The Company shall not be liable for any direct, indirect, incidental, or consequential damages arising out of or related to the use of the Services.
c. The Company’s total liability shall not exceed the amount paid by the client for the Services in the 12 months preceding the claim.

9. Termination

a. Either party may terminate the agreement at any time with 30 days' written notice.
b. Upon termination, the client’s access to the AI automation Services will be revoked, and any associated data or content provided by the Company must be returned or destroyed.

10. Indemnification

Clients agree to indemnify, defend, and hold harmless the Company, its employees, and agents from and against any claims, damages, or expenses (including legal fees) arising from:
a. The misuse of the Services.

b. Any breach of these Terms.

c. Violations of applicable laws or platform policies in connection with the use of the Services.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

12. Amendments

The Company reserves the right to update or modify these Terms at any time without prior notice. The updated Terms will be posted on our website and will become effective upon posting.
